Terms & Conditions of Engagement<\/strong><\/h2>\n\n

Client Engagement<\/strong><\/p>\n\n

Transparency. Reliability. True partnership. <\/em><\/p>\n\n

These Terms & Conditions govern the engagement between the Client and L & J Experience Group GmbH.<\/p>\n\n

\n\n

Parties<\/strong><\/h2>\n\n

The client (natural or legal person) is hereinafter referred to as the \u201cClient<\/strong>\u201d.<\/p>\n\n

L & J Experience Group GmbH<\/strong> is hereinafter referred to as the \u201cContractor<\/strong>\u201d.<\/p>\n\n

\n\n

Provision of Information and Documents<\/strong><\/h2>\n\n

The Client undertakes to provide the Contractor with all information and documents required for the proper performance of the engagement in a complete, accurate and timely manner (in person, electronically or by post).<\/p>\n\n

\n\n

Fees \/ Remuneration<\/strong><\/h2>\n\n

Unless expressly agreed otherwise, the following hourly rates shall apply:<\/p>\n\n

    \n
  • Administrative work: CHF 120\/hour<\/li>\n\n\n\n
  • Professional services: CHF 160\/hour<\/li>\n\n\n\n
  • Consulting \/ Advisory services: from CHF 220\/hour, depending on the complexity and urgency of the engagement<\/li>\n\n\n\n
  • Travel expenses (by car): CHF 0.75\/km<\/li>\n\n\n\n
  • Travel time: CHF 80\/hour<\/li>\n<\/ul>\n\n

    Initial consultation (up to 30 minutes, advisory in nature): free of charge<\/strong><\/p>\n\n

    Indicative budgets stated in offers or verbal agreements are provided for guidance only and do not constitute a fixed or lump-sum fee.<\/p>\n\n

    The hourly rates defined in offers or budget plans are binding and shall prevail.<\/p>\n\n

    If, during the course of the engagement, it becomes apparent that the actual workload will significantly deviate from the estimated budget, the Client shall be informed without undue delay.<\/p>\n\n

    All fees are stated exclusive of statutory VAT.<\/p>\n\n

    \n\n

    Confidentiality<\/strong><\/h2>\n\n

    Both parties undertake to treat all information obtained in the course of the engagement as strictly confidential.<\/p>\n\n

    This obligation shall continue to apply even after termination of the engagement.<\/p>\n\n

    \n\n

    Liability<\/strong><\/h2>\n\n

    The Contractor undertakes to perform the agreed services with due care and professional diligence, but does not guarantee any specific economic, tax or legal outcome.<\/p>\n\n

    The Client is expressly reminded of their statutory duty to cooperate and to disclose all relevant information.<\/p>\n\n

    The Contractor shall not be liable for any discrepancies in financial statements, tax returns or other reports arising from incomplete, delayed or inaccurate information provided by the Client.<\/p>\n\n

    \n\n

    Conclusion and Termination of the Engagement<\/strong><\/h2>\n\n

    The engagement is deemed concluded upon written or verbal instruction, and at the latest upon commencement of services or receipt of an advance payment.<\/p>\n\n

    Both parties may terminate the engagement at any time in accordance with Art. 404 of the Swiss Code of Obligations.<\/p>\n\n

    The right to claim damages for termination at an inopportune time remains reserved.<\/p>\n\n

    \n\n

    Applicable Law<\/strong><\/h2>\n\n

    This engagement shall be governed exclusively by Swiss law, in particular the Swiss Code of Obligations.<\/p>\n\n

    \n\n

    Power of Attorney \/ Representation<\/strong><\/h2>\n\n

    The Client may grant the Contractor a separate power of attorney within the scope of the engagement.<\/p>\n\n

    Such power of attorney authorizes the Contractor to represent the Client vis-\u00e0-vis authorities, public offices, social security institutions, insurance companies, banks, notaries and other involved parties, in particular in connection with:<\/p>\n\n

    • Company formations<\/li>\n\n\n\n
    • Accounting and financial reporting<\/li>\n\n\n\n
    • Tax matters<\/li>\n\n\n\n
    • Fiduciary services<\/li>\n<\/ul>\n\n

      The power of attorney is granted separately and does not form part of this agreement.<\/p>\n\n

      The scope, duration and revocation of the power of attorney are governed exclusively by the respective power of attorney document.<\/p>\n\n

      \n\n

      Interpretation<\/strong><\/h2>\n\n

      In the event of any discrepancies or inconsistencies in interpretation, the German version shall prevail.<\/p>\n\n

      The English and Chinese versions are provided for convenience only.<\/p>\n\n
